In August 2005, Two River Community Bank (OTC: TWRV) and The Town Bank (OTC: TBWN) announced that they were merging under a newly formed holding company. Both banks are rapidly growing community banks and were seeking a strategic combination in order to better serve their customers, employees and communities. In addition, the banks were seeking a strategic partner having a similar philosophy and business model. The ability to combine under a holding company, yet remain as relatively independent banks, accomplished all their goals.

Curtis Securities analyzed the transaction, valued the two banks and structured the combination. Curtis also issued a fairness opinion to the Two River Community Bank board. We believe this transaction illustrates how Curtis can assist clients with creatively structuring transactions to differentiate themselves from other potential transaction partners and thereby effectively complete a deal.
