In 2004, seeing an opportunity to advance its industry-leading technology platform and capitalize on industry consolidation, StarCite’s Board of Directors asked existing investors to submit proposals to lead a growth equity financing.

The Company received several competing proposals from existing investors and ultimately accepted a financing and recapitalization proposal led by Internet Capital Group, Seaport Capital, and TL Ventures.

The Special Committee of the Board of Directors of StarCite engaged Curtis Securities to assist in analyzing several financing and recapitalization proposals and to provide a fairness opinion in connection with this transaction.
